By accessing or using the website samuraicode.ai (the “Website”) and any services provided by Samurai Code (“Company,” “we,” “us,” or “our”), including AI voice agent deployment, configuration, management, and related SMS/text messaging services (collectively, the “Services”), you (“you,” “your,” or “Client”) agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Website or Services. If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Samurai Code provides fully managed AI voice agent solutions for businesses, including but not limited to: custom AI voice agent configuration and deployment, integration with existing business systems, ongoing management, optimization, and support, and related communications including SMS/text messaging services on behalf of clients.

Our Services are designed for business use and are intended for businesses with sufficient operational maturity to benefit from AI voice agent technology. Service details, pricing, and specific deliverables are outlined in individual service agreements between Samurai Code and each Client.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Website and Services. By using our Website or Services, you represent and warrant that you meet these requirements.

4. User Accounts

Certain features of our Services may require you to create an account or provide business information. You agree to provide accurate, current, and complete information and to update your information as needed. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. SMS/Text Messaging Terms

By providing your phone number and opting in to receive text messages from Samurai Code, you agree to the following:

• You consent to receive SMS/text messages from Samurai Code related to our services, including appointment reminders, service notifications, account updates, and other service-related communications.
• Message frequency varies based on your account activity and service usage.
• Message and data rates may apply. You are responsible for any charges from your wireless carrier.
• You may opt out of receiving text messages at any time by replying STOP to any message. You will receive a one-time confirmation of your opt-out.
• For help, reply HELP to any message or contact us using the information in Section 16.
• Consent to receive text messages is not a condition of purchasing our services.
• We will not share your phone number or opt-in information with third parties for marketing purposes.

6. Payment Terms

Fees for our Services are as outlined in your individual service agreement with Samurai Code. Unless otherwise specified, fees are billed monthly and are due upon receipt of invoice. All fees are non-refundable except as expressly stated in your service agreement or as required by applicable law. We reserve the right to modify pricing with 30 days' written notice.

7. Acceptable Use

You agree not to use our Website or Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Send unsolicited commercial messages (spam) or use our Services for telemarketing purposes not authorized in your service agreement
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or disassemble any aspect of our technology
• Use the Services in any way that could damage, disable, or impair our systems

8. Intellectual Property

All content, features, and functionality of the Website and Services, including but not limited to text, graphics, logos, trademarks, and software, are owned by Samurai Code or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Website or Services without our prior written consent.

Any custom configurations, scripts, workflows, or knowledge bases created by Samurai Code as part of our Services for your business remain the property of Samurai Code unless otherwise specified in your service agreement. You retain ownership of all business data, documents, and content you provide to us for use in configuring your AI agents.

9. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for high accuracy and reliability in our AI voice agent technology, we do not guarantee that our Services will be uninterrupted, error-free, or that AI-generated responses will be 100% accurate in all circumstances. AI voice agents are tools designed to assist your business operations and are not a substitute for human judgment in critical matters.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMURAI CODE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO SAMURAI CODE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Samurai Code and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Website or Services, your violation of these Terms, your violation of any applicable law or regulation, or any content or data you provide to us in connection with the Services.

12. Term and Termination

These Terms remain in effect for as long as you use our Website or Services. We may suspend or terminate your access to the Website or Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Website and Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.

Termination of specific Services is governed by your individual service agreement with Samurai Code.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Ohio. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Third-Party Links and Services

Our Website or Services may contain links to third-party websites or services that are not owned or controlled by Samurai Code. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Samurai Code shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Website or Services after any changes to these Terms constitutes your acceptance of the revised Terms.
